Terms of Service

By accessing or using SolaceTrade, you agree to these Terms and our Privacy Policy. You must be legally capable of entering a binding agreement and, when acting for a company or dealership, authorized to bind that organization.

You must provide accurate information, safeguard credentials, and promptly report unauthorized access. You are responsible for activity under your account and for configuring user permissions appropriately.

SolaceTrade provides software, communications, operational workflows, evidence capture, and decision-support tools. We are not a vehicle dealer, lender, insurer, appraiser, or consumer-reporting agency unless expressly stated in a separate written agreement.

Trade values, estimates, recommendations, and generated outputs are informational and may depend on incomplete or third-party data. Final offers, inspections, pricing, financing, taxes, title, condition determinations, and transactions are controlled by the participating dealership or relevant provider.

Organizations using SolaceTrade must obtain required notices and consents, honor communication preferences and opt-outs, use data lawfully, maintain accurate disclosures, supervise their personnel, and comply with applicable advertising, telemarketing, privacy, consumer-protection, and automotive laws.

Paid services are governed by the pricing and order terms presented at purchase or in a separate agreement. Unless otherwise stated, fees are nonrefundable, subscriptions renew automatically, and taxes are additional. You may cancel future renewal through the available account process or by contacting support.

SolaceTrade and its licensors retain all rights in the platform, software, designs, workflows, documentation, trademarks, and improvements. We grant a limited, revocable, nontransferable right to use the service during the applicable subscription. You retain rights in content you lawfully submit and grant us permission to process it to operate and improve the service.

You may not misuse the service, violate law, infringe rights, send unlawful or unsolicited communications, introduce malicious code, bypass security or limits, scrape or reverse engineer except where law expressly permits, access another tenant's data, or use outputs as the sole basis for decisions that legally require qualified human review.

The service may integrate with third parties and may be changed, suspended, or interrupted. Third-party services are governed by their own terms. We may update features or these Terms, and will post the effective date of revisions.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OPERATION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOLACETRADE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, LOST PROFITS, LOST DATA, OR LOST BUSINESS. OUR AGGREGATE LIABILITY ARISING FROM THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID FOR THE AFFECTED SERVICE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

You agree to defend and indemnify SolaceTrade from claims arising from your content, unlawful communications, misuse, violation of these Terms, or violation of another person's rights. These Terms are governed by Texas law, without regard to conflict-of-law principles. Exclusive venue will lie in state or federal courts serving Harris County, Texas, unless a separate written agreement states otherwise.
